1. ELIGIBILITY.This Giveaway is open only to individuals who are legal U.S. residents of Hawaii and eighteen (18) years of age or older at the time of participation. Void outside Hawaii and where prohibited or restricted by law. Employees, contractors, officers and directors of Honolulu Magazine (“Sponsor”), its parent company, subsidiaries, divisions, suppliers, distributors, participating locations (including Y.Hata, ChefZone, and Sun Noodles), and Sponsor’s advertising and promotional agencies (collectively, the “Giveaway Entities”) and members of the immediate families (spouse and biological, adoptive or step-parents, grandparents, children, grandchildren and siblings, and each of their respective spouses regardless of where they reside) or households (whether related or not) of any of the above individuals are not eligible to participate in the Giveaway or win a prize. The Giveaway is subject to all applicable federal, state, and local law and regulations. By participating in the Giveaway, each participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects.

   2. HOW TO ENTER.There are two (2) ways to enter the sweepstakes. Entering multiple times may increase your chances due to having multiple entries. One entry is permitted per person per giveaway contest period every two virtual stamps received in the Flex Rewards system.

• At ChefZone, scan the Frolic Hawai‘i Ramen Bowl QR code in-store to download the Flex Rewards app or to access a mobile browser compatible page. You must register for a free account to access the Frolic Hawai‘i Ramen Bowl digital stamp card. Upon registration, the entrant will receive two stamps on their card, qualifying them for one (1) entry into the sweepstakes.

• Visit any participating restaurant including Onoya King Street, Noods (all locations), Kapa Hale, FEAST, Artizen/MW Restaurant, Chef Chai, Bario Ramen (Ala Moana), Jinya Ramen, Kamitoku Ramen (Ward Village) and RumFire (Sheraton Waikiki). At the point of sale, a restaurant staff member will present a designated location-based QR Code for the entrant to scan and receive one stamp.

• To qualify for one (1) entry into the sweepstakes drawing, at least two (2) unique restaurant stamps or one (1) ChefZone stamp must be collected by an individual in the Flex Rewards app. Additional entries may be earned for every two (2) unique restaurant stamps collected during the promotional period.

• In addition to claiming a prize, prize claimants may be required to show a valid government-issued photo ID and sign and return an affidavit of eligibility and liability/publicity release and/or a prize-claim form to verify their eligibility and claim a prize. If a potential winner (a) cannot be verified as eligible; (b) fails to provide signed affidavits or releases or other required forms; (c) fails to present a proper identification at the time of claiming a prize or fails to collect or properly claim any prize in accordance with these Official Rules and as stated on the Giveaway Card; (d) declines the prize; (e) is disqualified for any reason; or (f) is not unable to accept the prize as stated, the prize may be forfeited, in Sponsor’s sole discretion.

4. WINNERS SELECTION.For each prize drawing, after entry submission has passed, three (3) randomly selected entries will be selected from the pool of qualified entries. Prize winners will be randomly selected for each prize in the prize drawing pool on May 5, 2025. Winners will be notified via the email provided when registering for the Flex Rewards app.
5. PRIZE/REWARD DETAILS.See below for prize details and all prize conditions. Additional information regarding a prize will be provided to confirmed winners upon claiming.

   PRIZES:

Prize Drawing #1 includes:

• Round-trip airfare vouchers for two (2) people from Honolulu, HI to Tokyo (Narita), Japan onboard Zipair.
• Hotel accommodations at a Marriott Bonvoy Property.

Prize Drawing #2 includes:

• Hotel accommodations at the Sheraton Waikiki.

Prize Drawing #3 includes:

• One (1) Sun Noodle Prize Pack
• One (1) ChefZone Prize Pack

No cash alternative or transfer or substitution of any prize or reward will be allowed, except Sponsor reserves the right to substitute a prize of comparable value if a prize listed is unavailable for any reason. If for any reason a reward cannot be redeemed, Sponsor shall have no further obligation to the reward recipient. Unclaimed prizes and rewards will not be awarded. Any difference between stated value and actual value of a prize will not be awarded. Prize winners/reward recipients shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof (if any), and for any other fees or costs associated with the applicable prize or reward.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished by third parties in connection with the “Giveaway”. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

BY ACCEPTING A PRIZE, WINNER ACCEPTS THE INHERENTLY DANGEROUS NATURE AND RISK IN PARTICIPATING IN ACTIVITIES IN CONNECTION WITH THE PRIZE INCLUDING PERSONAL INJURY AND/OR DEATH, ACKNOWLEDGES THAT HIS/HER ACCEPTANCE OF THE PRIZE IS VOLUNTARY, ACKNOWLEDGES THAT THERE ARE NATURAL FACTORS AND OCCURRENCES WHICH MAY IMPACT ON OR AFFECT THE SAFETY OF THE PRIZE ACTIVITIES HE/SHE IS PARTICIPATING IN AND HE/SHE ASSUMES THE RISK OF SUCH FACTORS AND OCCURRENCES AND AGREES THAT SWEEPSTAKES ENTITIES SHALL NOT BE IN ANY WAY RESPONSIBLE FOR ANY RESULTING INJURY AND/OR DEATH.

6. GENERAL. As a condition of participating, participants agree (a) that the Giveaway Entities, their subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents (“Released Parties”) are released, will have no liability whatsoever for, and shall be held harmless by participants against, any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a prize or reward or participation in the Giveaway or any Game-related activities or any travel related thereto; (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with the Giveaway, or any prize or reward awarded, shall be resolved individually, without resort to any form of class action. Sponsor is not responsible for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right, in its sole discretion, to disqualify any individual who is found to be tampering with the operation of the Giveaway, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Giveaway by cheating, deception, or other unfair playing practices, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor reserves the right to modify, extend, suspend, or terminate the Giveaway in whole or in part if it determines, in its sole discretion, that the Giveaway is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Giveaway as contemplated herein. In the event Sponsor is prevented from awarding prizes/rewards or continuing with the Game as contemplated herein by any event beyond its control, Sponsor reserves the right to award any prizes/rewards in a manner deemed fair and equitable by Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor will interpret these Official Rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Giveaway and the Sponsor’s decisions concerning such disputes shall be final. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of this provision.

7. PUBLICITY. Except where prohibited, by accepting a prize, winners grant permission to Sponsor and its designees to use their names, characters, images, voices, and likenesses worldwide, in perpetuity, in any and all media now known or hereinafter invented in any and all marketing and promotional materials and waive any claims to royalty, right, or remuneration for such use. The names of the major prize winners may be included in a publicly-available winners list.

8. USE OF PERSONAL INFORMATION. Sponsor or its designated agency shall retain prize claimant’s personal data provided for prize redemption for a reasonable period of time to enable Sponsor to fulfill the prize and to verify that these Official Rules have been complied with, and for accounting purposes. The data may be passed to a third party to enable such third party to fulfill any necessary requirements relating to the award of a prize or reward. Any other use of personal data will be in accordance with, and subject to, the Sponsor’s Privacy Policy at https://www.honolulumagazine.com/about-us/privacy-policy/.

9. TAXES. Any valuation of the prize(s) stated above is based on available information provided to the Sponsor, and the value of any prize awarded to a winner may be reported to the IRS as required by law. Each winner is solely responsible for reporting and paying any and all applicable federal, state, and local taxes and paying any expenses associated with any prize which is not specifically stated in these Official Rules. Winners may be required to provide the Sponsor with valid identification and a valid taxpayer identification number or social security number before a prize will be awarded. Any person winning over $600 in prizes from the Sponsor in a calendar year will be issued an IRS Form 1099 reporting the value of those prizes to the IRS.

GOVERNING LAW: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF PARTICIPANTS OR SPONSOR IN CONNECTION WITH THE GAME SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF HAWAII WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

10. BINDING ARBITRATION. Any controversy or claim arising out of or relating to the Giveaway shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.  The arbitrator shall apply Hawaii law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by the Sponsor, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE PARTICIPANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS GAME IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.

11. WINNER’S LIST. For the names of the major prize winners, send a stamped, self-addressed envelope, to: Frolic Hawai‘i Ramen Bowl Giveaway Winner’s List Request, 1088 Bishop St, LL2, Honolulu, HI 96813. Requests must be received within thirty (30) days after the conclusion of the Giveaway.
